Terms of Service.

Acceptance

By creating an Agnes account, accessing the Agnes platform, or using any of its features ("the Service"), you agree to these Terms of Service ("Terms"). If you're using Agnes on behalf of an organization, you confirm you have the authority to bind that organization to these Terms.

These Terms form a legal agreement between you and Agnes, LLC, a Delaware limited liability company headquartered in Lincoln, NE.

Your account

You're responsible for keeping your account credentials secure and for everything that happens under your account. Tell us immediately at hello@agnes.farm if you suspect unauthorized access.

Eligibility

You must be at least 18 years old and able to enter binding contracts to use Agnes. If you're using the Service for an organization (farm, co-op, elevator, extension office), that organization must be the lawful operator of the data you submit.

Permitted use

You may use Agnes to:

• Capture, organize, and reconcile scale tickets, contracts, settlements, and related operational records;
• Query, export, and report on your own operational data;
• Invite teammates and counterparties to participate in your operation, subject to their own acceptance of these Terms.

You may not use Agnes to:

• Submit data you don't have the right to submit (e.g. another producer's tickets without permission);
• Upload or transmit content that is sexual, sexually explicit, violent, harassing, hateful, or otherwise abusive;
• Upload or transmit content that is illegal under applicable law, infringes third-party rights, or contains malware;
• Reverse-engineer, scrape, or attempt to extract the source code or training data of the Service;
• Use the Service to build a competing product;
• Send unlawful, infringing, defamatory, or malicious content through Agnes;
• Circumvent rate limits, plan caps, or access controls.

Trust & safety

Agnes is built for agricultural operational records. To keep the platform safe and operating as intended, we reserve the right to sample, inspect, and review uploaded content — including images, documents, and AI prompts — to detect and respond to misuse. Sampling is done by a small, access- controlled group on a need-to-know basis and is logged.

If we determine that an account is being used in violation of these Terms, we may, at our sole discretion and without prior notice:

• Remove the offending content;
• Suspend or terminate the account;
• Report the activity to the appropriate authorities where required by law;
• Charge the account for reasonable costs we incur in investigating, remediating, or responding to the misuse — including staff time, third-party review, and any fees, fines, or chargebacks assessed against Agnes as a result.

These remedies are in addition to, not in place of, any other rights we have under these Terms or applicable law.

Billing & subscriptions

Plans & pricing

Current pricing is listed at agnes.farm/#pricing. You can upgrade, downgrade, or cancel any time from your dashboard. Pricing changes apply only to future billing periods.

Payment

We bill monthly or annually depending on the plan you select. Annual plans are billed up front and discounted relative to monthly. Payment is handled by Stripe; we don't store card numbers on Agnes servers.

Refunds

Annual plans are refundable on a pro-rated basis within the first 30 days. Monthly plans are not refundable, but you can cancel before your next billing date to avoid further charges.

Your data

Your data is yours. You retain all rights to the operational data you submit to Agnes — scale tickets, contracts, settlements, attachments, comments, and reports.

You grant Agnes a limited license to host, process, transmit, and display your data solely for the purpose of operating the Service for you. We don't sell your data, share it with third-party advertisers, or use it to train models that serve other customers.

AI features

Agnes uses third-party frontier large language models to power features like ticket extraction, Ask Agnes, and reports. Inputs to AI features are processed by those providers under their own data-handling commitments, which we contract for "no-training" terms wherever offered.

AI output is best-effort. It can be wrong, especially when extracting unfamiliar ticket layouts or when reasoning over incomplete data. Always verify AI output before using it for payments, regulatory filings, or material decisions.

Intellectual property

Agnes (the Service, the brand, the marks, the software, the designs, the documentation) is owned by Agnes, LLC and protected by U.S. and international intellectual property law. These Terms grant you a limited, non-exclusive, revocable license to use the Service — not a transfer of any IP rights.

Feedback, suggestions, and bug reports you send us may be used freely to improve the Service. We appreciate your input.

Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do work hard to keep Agnes accurate, available, and useful. When we fall short — outage, bug, regression — we'll tell you, credit the affected billing period, and fix it.

Liability

To the maximum extent permitted by law, Agnes, LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or in connection with the Service.

For any other liability not excluded above, our total liability to you in any 12-month period is capped at the amount you paid Agnes during that period.

Termination

You can close your account at any time from your dashboard or by emailing hello@agnes.farm. We may suspend or terminate accounts that materially breach these Terms — including the prohibited uses listed in §3 — with or without prior notice depending on the severity of the breach.

On termination, you can export your data for 30 days. After that, we delete operational data within 90 days, subject to legal-hold and backup-retention exceptions described in the Privacy Policy. Content removed for violating §3 may be retained as needed for investigation, legal, or regulatory purposes.

Changes to terms

We may update these Terms from time to time. Material changes will be announced by email to account owners at least 30 days before they take effect. Continuing to use Agnes after the effective date constitutes acceptance of the updated Terms.
